Terms of Service

1. Acceptance of Terms

By accessing or using SignFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including organization owners, administrators, and team members.

2. Description of Service

SignFlow is a customer relationship management (CRM) platform designed for service businesses. The Service includes proposal creation, electronic signature collection, invoicing, payment processing, recurring billing, client portal access, and integrations with third-party services including payment processors, QuickBooks Online, e-signature providers, and others.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

3. Account Registration

To use SignFlow, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Organizations may have multiple users. The organization owner is responsible for managing user access and ensuring that all users comply with these Terms.

4. Payments and Billing

SignFlow offers paid subscription plans billed monthly. By selecting a paid plan, you agree to pay the applicable fees. All fees are quoted in US dollars and are non-refundable except as required by law.

  • Subscription fees are billed in advance on a monthly basis.
  • You authorize us to charge your payment method on file for recurring fees.
  • If payment fails, we will provide notice and a reasonable grace period before suspending access.
  • Pricing changes will be communicated at least 30 days in advance.
  • Add-on services (such as the VA Hub) are billed separately based on usage.

5. Intellectual Property

The Service and its original content (excluding user data), features, and functionality are owned by SignFlow and are protected by copyright, trademark, and other intellectual property laws.

You retain all rights to the data you input into SignFlow. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law
  • Transmit any material that is unlawful, harmful, threatening, abusive, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or other systems connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to send spam, phishing messages, or other unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service

7. Limitation of Liability

To the maximum extent permitted by applicable law, SignFlow and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Termination

You may terminate your account at any time through the account settings or by contacting support. Upon termination, your right to use the Service will cease immediately.

We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms. Upon termination, we will make your data available for export for 30 days, after which it may be permanently deleted.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delaware.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
